Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BizFile API and related services (the "Service") operated by Byzantine Glam, LLC, a Texas limited liability company ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "API" means the BizFile application programming interface accessible at api.bizfileapi.com.
• "API Key" means the unique credential issued to you for authenticating requests to the API.
• "Account" means your registered account with the Service.
• "Data" means the business entity information made available through the API, sourced from publicly available government records.
• "You" or "User" means any individual or entity that accesses or uses the Service.

2. Account Registration

To use the API, you must create an Account by providing a valid email address and password. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your Account credentials and API Keys.
• Promptly notify us of any unauthorized use of your Account.
• Accept responsibility for all activity that occurs under your Account.

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. API Keys and Security

• API Keys are confidential. Do not share, publish, or embed them in client-side code or public repositories.
• You are responsible for all API calls made using your API Keys.
• We may revoke API Keys that we reasonably believe have been compromised or are being misused.
• API Keys are shown only once at creation. You are responsible for storing them securely.

4. Permitted Use

You may use the Service and Data for lawful business purposes, including but not limited to:

• Know Your Business (KYB) verification and compliance.
• Business entity research and due diligence.
• Integration into your own applications and internal tools.
• Data analysis and reporting for legitimate business purposes.

5. Prohibited Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Use officer or registered agent personal information for unsolicited marketing, spam, harassment, or stalking.
• Attempt to reverse-engineer, decompile, or disassemble the Service.
• Circumvent or attempt to circumvent rate limits, authentication, or other security measures.
• Resell, redistribute, or sublicense raw API access to third parties without our prior written consent.
• Use automated means to scrape, crawl, or extract data beyond the API's intended functionality.
• Introduce malicious code, viruses, or other harmful material to the Service.
• Misrepresent your identity or affiliation when registering or using the Service.
• Use the Data to make decisions that would require compliance with the Fair Credit Reporting Act (FCRA), including employment screening, tenant screening, or credit decisions.

6. Data Sources and Accuracy

• The Data provided through the API is sourced from publicly available government records, primarily Secretary of State filings.
• We aggregate and normalize this data but do not independently verify its accuracy or completeness.
• The Data is provided on an "as-is" basis. We make no warranty that the Data is current, accurate, or complete.
• You are responsible for independently verifying any information obtained through the Service before relying on it for business or legal decisions.

7. Pricing and Payment

• The Service offers a free tier and paid subscription plans as described on our website.
• Paid plans are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• Prices are subject to change with 30 days' prior notice.
• Overage charges, if applicable to your plan, are billed at the end of each billing period.
• All fees are non-refundable except as required by law or at our sole discretion.
• We may suspend or terminate your access if payment is past due.

8. Rate Limits

Each plan has specific rate limits (requests per minute and per day). If you exceed these limits, the API will return a 429 status code. Repeated or intentional abuse of rate limits may result in temporary or permanent suspension of your Account.

9. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
• We are not liable for any loss or damage arising from service interruptions.

10. Intellectual Property

• The Service, including its design, code, documentation, and branding, is owned by Byzantine Glam, LLC and protected by applicable intellectual property laws.
• The underlying government data is in the public domain. Our compilation, normalization, and presentation of that data through the API constitutes our proprietary service.
• You retain ownership of any applications or products you build using the Data obtained through the API.

11. Disclaimer of Warranties

THE SERVICE AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYZANTINE GLAM, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Byzantine Glam, LLC, its officers, members, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

14. Termination

• You may close your Account at any time by contacting us.
• We may suspend or terminate your Account at any time for violation of these Terms, non-payment, or any other reason at our reasonable discretion.
• Upon termination, your API Keys will be revoked and your access to the Service will cease.
• Sections 5, 6, 11, 12, 13, and 16 survive termination.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
• Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.
• Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us.

17. General Provisions

• Entire Agreement. These Terms constitute the entire agreement between you and Byzantine Glam, LLC regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18. FCRA Disclaimer

The Service is NOT a consumer reporting agency as defined by the Fair Credit Reporting Act ("FCRA"), and the Data does not constitute a "consumer report" as defined by the FCRA. You shall not use the Data as a factor in establishing an individual's eligibility for personal credit, insurance, employment, or any other purpose authorized under the FCRA. You acknowledge that you have a permissible purpose for accessing the Data that does not fall under the FCRA.
